Overview

Randy Sparling practices commercial law and estate planning. He has substantial experience representing clients engaged in business acquisitions and dispositions. Randy also has assisted clients in debt and equity financing transactions and advised businesses regarding compliance with franchise and distribution regulations. Prior to entering private practice, he served as Compliance Officer for the First National Bank of St. Paul.

Randy consistently seeks to understand his clients' legal and practical issues and how they might be accomplished efficiently. He also takes care to understand his clients' personalities and the personalities of those with whom they are dealing. He takes great satisfaction in being able to apply his knowledge and experience to help his clients achieve their goals.

Representative Cases

Formation of entities to operate a business and the allocation of ownership among the principal owners, including the arrangements for the transition of ownership in the event of the admission of additional owners or the departure of owners.

Client representation in connection with financing transactions, including the issuance of collateralized debentures to qualified institutional buyers and in connection therewith has negotiated the terms of the indentures under which the debt instruments were issued.

Client representation in all aspects of business acquisition transactions, including the “due diligence” investigation of the target, the negotiation of the acquisition agreement, the establishment of financing arrangements for the transaction and the completion of the transaction.

Preparation of sophisticated estate plans, including the use of split-interest trusts to accomplish the client’s objectives.
